By applying to or participating in the Soma Chems Affiliate Program (“Program”), you (“Affiliate”) agree to be bound by the following Terms & Conditions (“Agreement”). Please read this Agreement carefully before applying for or participating in the Program.
Participation in the Program constitutes your full acceptance of this Agreement and any future modifications made by Soma Chems.

1. Program Overview
The purpose of the Program is to allow approved Affiliates to promote Soma Chems through lawful and compliant advertising methods in exchange for commissions on qualifying purchases made by customers referred through approved affiliate links.
Participation in the Program is intended solely for Affiliates who provide genuine promotional value and introduce legitimate new customers to Soma Chems.
Participation in the Program is a privilege, not a right. Approval into the Program does not create any partnership, agency, employment relationship, franchise, joint venture, or exclusive arrangement between Soma Chems and Affiliate.
Soma Chems reserves the right to approve, reject, suspend, limit, or terminate any Affiliate application or account at any time, with or without notice, and with or without cause, at its sole discretion.

2. Research Use Only (RUO) Compliance Requirements
Soma Chems distributes laboratory materials and research compounds intended strictly for research-use-only (“RUO”) purposes. Products sold by Soma Chems are not approved for human consumption, veterinary use, therapeutic use, medical use, diagnostic use, or any other unauthorized application.
Affiliate agrees that all promotional activity relating to Soma Chems must remain fully compliant with:
Applicable laws and regulations
FTC endorsement and advertising guidelines
Search engine and advertising platform policies
Social media platform policies
Any written compliance guidance issued by Soma Chems
Affiliate may not directly or indirectly:
Make medical, therapeutic, pharmaceutical, anti-aging, bodybuilding, performance-enhancing, wellness, or health-related claims regarding Soma Chems products
Suggest or imply human use, injectable use, personal use, dosing instructions, administration protocols, treatment plans, cycling protocols, or physiological outcomes
Market Soma Chems products as supplements, medications, pharmaceuticals, wellness products, anti-aging products, bodybuilding products, or products intended for personal consumption
Use testimonials, before-and-after claims, transformation claims, or anecdotal experiences implying human consumption or medical outcomes
Use imagery, terminology, hashtags, metadata, or branding inconsistent with the research-use-only nature of Soma Chems products
Use misleading promotional language or coupon codes implying personal, therapeutic, or medical use
Present themselves as official Soma Chems representatives, medical professionals, or scientific advisors without prior written authorization
Affiliate is solely responsible for ensuring all promotional activities remain compliant with applicable laws and platform policies.

3. Approval or Rejection of Applications
Soma Chems reserves the sole and absolute right to approve or reject any Affiliate application for any reason or no reason.
Applicants shall have no legal recourse regarding rejection, suspension, limitation, or termination of participation in the Program.

4. Affiliate Responsibilities
Affiliate agrees to:
Operate honestly, transparently, and in good faith
Accurately represent Soma Chems products and promotions
Use only approved promotional methods
Maintain truthful and compliant advertising practices
Avoid misleading, deceptive, fraudulent, or manipulative promotional tactics
Comply with all applicable laws, regulations, and advertising guidelines
Affiliate is responsible for all activities conducted directly or indirectly on their behalf, including actions performed by employees, contractors, agencies, media buyers, AI systems, subcontractors, or third-party publishers.

5. Commissions
Commissions are paid solely on qualifying transactions deemed valid and compliant by Soma Chems.
Commissions:
Are typically paid monthly
Require the referred order to remain valid for at least 31 days
Will not be paid on refunded, canceled, disputed, fraudulent, self-referred, or chargeback transactions
May be withheld during compliance reviews or investigations
Affiliate may not refer themselves, place orders using their own affiliate links, or use their affiliate links for personal purchases.
Soma Chems reserves the sole right to determine whether traffic, conversions, or commissions qualify as legitimate and commissionable.

6. Commission Reversals & Clawbacks
Soma Chems reserves the right to withhold, reverse, offset, deny, or claw back commissions associated with:
Unauthorized advertising
Branded traffic capture
Misleading discount claims
Parasitic SEO
Coupon arbitrage
Spam promotion
Fraudulent transactions
Low-quality or suspicious traffic
Non-compliant promotional methods
Violations discovered after commissions have accrued or already been paid
Affiliate acknowledges that commissions are intended solely for compliant, legitimate, incremental customer acquisition activity.

7. Prohibited Promotional Methods
The following promotional methods are strictly prohibited unless expressly authorized in writing by Soma Chems:
Bidding on Soma Chems brand terms, trademarks, product names, domain names, or misspellings in paid advertising
Running paid ads using Soma Chems branding or branded search intent
Direct linking from paid ads to Soma Chems
Search arbitrage or traffic arbitrage campaigns
Coupon arbitrage or discount arbitrage
Capturing existing branded demand rather than introducing new customers
Misleading coupon or discount claims
Advertising unauthorized, expired, fake, or inflated discounts
Creating low-value SEO pages targeting Soma Chems branded keywords
Mass-produced AI-generated content designed primarily to capture affiliate commissions
Spam promotion on Reddit, Discord, Telegram, forums, Facebook groups, comment sections, or social communities
Cookie stuffing, forced clicks, hidden redirects, pop-unders, iframes, or automatic cookie placement
Impersonating Soma Chems through domains, branding, social handles, communities, or advertisements
Creating fake reviews, fabricated testimonials, or deceptive endorsements
Using burner accounts, fake engagement, vote manipulation, or astroturfing tactics
Soma Chems reserves the sole right to determine whether any traffic source, promotional method, or campaign violates the spirit or intent of the Program.

8. Branded Traffic Restrictions
Affiliate may not target, intercept, redirect, monetize, or otherwise capture traffic from users already searching specifically for Soma Chems, Soma Chems products, Soma Chems coupon codes, or other branded search intent through:
Paid advertisements
Coupon listings
Search arbitrage
SEO manipulation
Misleading promotions
Traffic interception methods
Soma Chems reserves the sole right to determine whether affiliate traffic is incremental or derived primarily from pre-existing branded demand.

9. Coupon & Deal Site Restrictions
Affiliates may only advertise coupon codes, discount percentages, and promotional offers that are:
Currently active
Explicitly assigned or approved
Accurately represented
Affiliates may not:
Exaggerate savings or discounts
Claim “extra” discounts unless specifically authorized
Advertise stackable discounts where none exist
Promote expired or unauthorized promotions
Use misleading “click to reveal” tactics when no valid offer exists
Set affiliate cookies before a user intentionally engages with a valid promotion
Affiliates may not use misleading text, buttons, or imagery implying unauthorized discounts or offers.

10. Pay Per Click (PPC) Policy
PPC advertising is prohibited without prior written approval from Soma Chems.
Affiliates may not:
Bid on Soma Chems branded keywords
Use Soma Chems trademarks in ad copy
Use misleading display URLs
Compete against Soma Chems branded campaigns
Redirect branded search traffic through affiliate links
Violation of this section may result in immediate termination and commission reversal.

11. Affiliate Links & Promotional Materials
Affiliate may use approved text links, graphics, banners, and promotional materials provided by Soma Chems.
Affiliate-created promotional materials must:
Remain compliant with this Agreement
Accurately represent Soma Chems
Avoid misleading claims or branding confusion
Soma Chems reserves the right to require removal or modification of any promotional material at any time.

12. Investigations & Compliance Reviews
Soma Chems reserves the right to investigate any Affiliate account, traffic source, promotional activity, campaign, website, advertisement, or conversion activity.
Affiliate agrees to cooperate fully with compliance reviews and provide truthful information regarding:
Traffic sources
Advertising methods
Paid campaigns
Promotional strategies
Websites and domains
Social media accounts
Audience acquisition methods
Failure to cooperate may result in immediate suspension or termination.

13. Intellectual Property
Affiliate may not use Soma Chems trademarks, logos, branding, product names, copyrighted materials, or intellectual property in any misleading or unauthorized manner.
Affiliate may not create websites, domains, social pages, communities, advertisements, or promotional materials that imitate, impersonate, or could reasonably be confused with official Soma Chems properties.

14. Termination
Soma Chems reserves the right to suspend or terminate any Affiliate account at any time, with or without notice, for:
Violations of this Agreement
Non-compliant promotional activity
Fraudulent or suspicious behavior
Brand protection concerns
Reputational concerns
Low-quality traffic
Failure to cooperate during investigations
Or any other reason at Soma Chems’ sole discretion
Upon termination:
Affiliate must immediately cease all use of Soma Chems branding and affiliate links
Unpaid commissions may be forfeited
Previously paid commissions associated with violations may be reversed or clawed back

15. Limitation of Liability
Soma Chems shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in the Program, including loss of revenue, profits, commissions, data, or business opportunities.
Soma Chems makes no warranties regarding operation of the Program, affiliate tracking, website uptime, or availability.

16. Indemnification
Affiliate agrees to indemnify, defend, and hold harmless Soma Chems and its officers, directors, employees, affiliates, successors, and assigns from any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising out of:
Affiliate’s promotional activities
Violations of this Agreement
Misrepresentation
Regulatory violations
Advertising claims
Intellectual property violations
Fraudulent or unlawful conduct

17. Modifications
Soma Chems reserves the right to modify this Agreement at any time.
Continued participation in the Program following any modification constitutes acceptance of the updated Agreement.

18. Governing Law
This Agreement shall be governed by and interpreted under the laws of the applicable jurisdiction chosen by Soma Chems, without regard to conflict of law principles.
Any disputes arising from this Agreement shall be resolved exclusively in the jurisdiction selected by Soma Chems.

19. Electronic Acceptance
By applying to or participating in the Soma Chems Affiliate Program, Affiliate acknowledges and agrees that electronic acceptance of this Agreement constitutes a legally binding electronic signature with the same force and effect as a handwritten signature.
